Terms and Conditions for DATALBL

## Acceptance of Terms
By accessing or using datalbl.com or purchasing any dataset or license from datalbl (also known as "DATALBL" or "datalbl.com") ("we," "us," "our"), you agree to these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company. If you do not agree, do not use the services.

## Services
datalbl provides synthetic AI training datasets in healthcare, including tabular records, doctor–patient transcript simulations, and imaging metadata ("Datasets"). We offer:
- Evaluation Licenses: time-limited, non-production evaluation of Datasets.
- Enterprise Licenses: broader production use rights as set out in the order form or license agreement.

All Datasets are synthetic and generated to mimic statistical properties of real-world data while minimizing any risk of re-identification.

## Customer Obligations
You must:
- Use the Datasets lawfully and in compliance with applicable laws, including GDPR and emerging EU AI Act requirements.
- Not attempt to identify or re-identify any person from the Datasets, nor combine the Datasets with other data to do so.
- Not resell, sublicense, redistribute, or make the Datasets available to third parties except as expressly permitted by your license.
- Implement appropriate security controls to prevent unauthorized access or misuse.
- Not remove proprietary notices or use the Datasets to create a competing dataset product without a license permitting such use.

## Intellectual Property
All rights, title, and interest in and to the Datasets, related documentation, and our underlying generation methods remain with DataLbl and its licensors. Subject to payment and compliance with these Terms, you receive a non-exclusive, non-transferable license as specified in your order:
- Evaluation License: internal evaluation and testing only; no production or external use.
- Enterprise License: rights as defined in the executed order form/enterprise agreement. Any rights not expressly granted are reserved.

## Payment, Invoicing, and Renewal
Fees for bundled packages are due as set forth at purchase or in your order form. Unless stated otherwise:
- Invoices are due net 30 days from the invoice date.
- Taxes, duties, and withholdings are your responsibility (exclusive of our net income taxes).
- Subscriptions (if any) renew automatically for successive terms unless cancelled at least 30 days before renewal. Price changes apply at renewal with prior notice.

We may suspend access for late or unpaid invoices. All fees are non-refundable unless required by law or expressly stated otherwise.

## Disclaimers and Limitation of Liability
The Datasets and services are provided "as is" and "as available." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant the accuracy, completeness, or suitability of the Datasets for any specific use.

To the maximum extent permitted by law:
- To the maximum extent permitted by law, in no event will we be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenues. Except for liabilities that cannot be limited by law, our total aggregate liability for direct damages arising out of or related to the Services will not exceed the amounts actually paid by you to datalbl in the 12 months preceding the event giving rise to the claim.

## Termination
Either party may terminate for material breach not cured within 30 days of written notice. Upon termination or license expiry, you must cease use of and, upon request, delete the Datasets, except as permitted by an enterprise agreement.

## Governing Law and Jurisdiction
These Terms are governed by EU law and the laws of Belgium, without regard to conflict of laws rules. The courts of Brussels, Belgium have exclusive jurisdiction, without prejudice to mandatory consumer or data protection rights where applicable.
